General Terms and Conditions - Cleanroom Systems International BV (CSI)

Article 1 - Definitions

In these Terms and Conditions, the following definitions shall apply:
1.1. CSI / Cleanroom Systems International BV: the private limited company registered with the Chamber of Commerce under the name Cleanroom Systems International BV, having its registered office in Drunen, the Netherlands.
1.2. WebsiteInternet pages accessible via www.csibv.com and any subdomains, web shops, portals or other online services.
1.3. Service(s): all online and offline services offered by CSI, including consulting, engineering, cleanroom design, project management, support, information provision and maintenance.
1.4. User / Visitor / Customer: natural or legal persons visiting the Website or using CSI's Services. 

Article 2 - Applicability

2.1. These General Terms and Conditions apply to any use of the Website and the formation of agreements between CSI and a User or Customer, unless expressly agreed otherwise in writing.
2.2. By using the Website and/or entering into an agreement with CSI, the User indicates agreement to these terms and conditions.
2.3. Differing terms and conditions of the Customer are expressly not recognised unless CSI has accepted them in writing. 

Article 3 - Offers and agreements

3.1. All quotations, proposals and information provided through the Website or otherwise are without obligation, unless otherwise indicated in writing by CSI.
3.2. An agreement between CSI and Customer shall be established as soon as CSI accepts an order in writing or electronically, or has started implementation.
3.3. Agreements on price, delivery time, performance or other conditions shall be laid down in a written agreement, offer confirmation or contract. 

Article 4 - Website Use

4.1. The Website, including texts, images, offers and documents, is the property of CSI or its licensors.
4.2. It is not permitted to copy, distribute or otherwise commercially use content from the Website without CSI's permission.
4.3. CSI endeavours to ensure that the Website is accurate and up-to-date, but does not guarantee completeness or uninterrupted operation. 

Article 5 - Privacy and Data

5.1. CSI respects the privacy of visitors and customers and processes personal data only according to the privacy statement as available on the Website.
5.2. CSI may collect technical data for analytical purposes to improve the service, in accordance with data protection legislation. 

Article 6 - Intellectual Property

6.1. All intellectual property rights relating to the Website, Services, software, documents, offers and other materials belong exclusively to CSI or its licensors.
6.2. The User is not permitted to modify, reproduce or otherwise use any materials without written permission from CSI. 

Article 7 - Services and Project Work

7.1. CSI provides services based on specifications in the agreement with the Customer.
7.2. Deliveries, planning and performance shall be carried out with care, in accordance with the agreement and reasonable professional standards.
7.3. Changes to the scope of services must be agreed in writing and may have price or delivery time effects. 

Article 8 - Liability
8.1. CSI shall not be liable for indirect damage, consequential damage, lost profit, business interruption or missed savings, unless explicitly agreed otherwise.
8.2. Liability for damage caused by unlawful use of the Website or Service by the User is excluded. 

Article 9 - Privacy and Cookies (Website Specific)

9.1. The Website may use cookies to support functionality, statistics and marketing purposes.
9.2. By using the Website, the User agrees to the placement of cookies as described in the cookie statement on the Website. 

Article 10 - Applicable law and disputes

10.1. These General Terms and Conditions and all agreements are governed exclusively by Dutch law.
10.2. Disputes shall be submitted exclusively to the competent court in the district where CSI has its registered office, unless the law imperatively requires otherwise.
